You are granted a limited, non-sublicensable right to access this TechMandA.com Site and print content on the TechMandA.com Site for your personal, non-commercial, and informational use only. You agree to indemnify and hold Tech M&A harmless from (a) any claim, demand, cause of action, debt, loss, or liability (including attorneys' fees) arising out of or in connection with your use of the Site or the Services; (b) any dispute with a user or contact from a listing; and (c) your breach of the Terms of Use. You agree not to submit any information contained in a listing unless you have all rights and authorizations to publish the information and represent and warrant as to the ongoing accuracy of all submitted information including the contents of a listing at all times. You understand that Tech M&A does not guarantee, warrant or represent as to the accuracy of the information contained in any submission or published listing and does not accept responsibility for verifying the accuracy of information submitted. Tech M&A reserves the right to remove, edit or modify information or listings or require additional information if it believes any submitted information violates these Terms and Conditions. Tech M&A may terminate the account or prevent the use of the Services of any user who violates the Terms of Use. You understand that any listings may be featured in the results of a search as a part of our Services which shall be exclusively determined by M&A Network. You agree to pay for the Services provided by TechMandA.com Site as indicated at the rates currently in effect. You agree to provide Tech M&A express authorization to charge the agreed to fees. Payment of the fees shall not be contingent on any events other than the delivery of the ordered Deliverables and is not contingent upon your use the Services. You agree to be responsible for any attorney fees, court costs, or other costs incurred in collection of delinquent undisputed amounts for the Services. You understand that subscriptions will automatically renew unless you contact us to cancel thirty (30) days prior to the renewal date. Tech M&A reserves the right to change its fees or billing methods at any time and will provide notice of any such changes. You agree to provide Tech M&A with any contact or billing information changes or updates (including phone number, credit card numbers, email addresses, etc.) Account updates may be made on the TechMandA.com Site. You understand that the Services cannot be assigned, sublicensed, distributed, shared, viewed, accessed, or otherwise transferred to anyone other than the person for whom the Service are registered. Services are subject to change. Tech M&A prohibits the use of the TechMandA.com Site or listings to send unsolicited commercial email. Users may not send unsolicited commercial email or otherwise send content that would violate these Terms and Conditions. TechMandA.com provides Services where subscribers can view listings of technology-based businesses and business wanted listings. Tech M&A has no control over the quality, accuracy or legality of the listings and the information is not intended to be relied upon. You understand that certain Services on the TechMandA.com Site may include materials and information from third parties, and you acknowledge and agree that Tech M&A has minimal control over such information. Accordingly, Tech M&A cannot guarantee, represent or warrant that the content contained in the Tech M&A Site is accurate or appropriate. YOU USE THE SERVICES AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR NON-MISAPPROPRIATION OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, ACCURACY OF INFORMATIONAL CONTENT, OR SYSTEM INTEGRATION. WE DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE OR OPERATE IN AN UNINTERRUPTED OR ERROR-FREE MANNER OR THAT ERRORS OR DEFECTS WILL BE CORRECTED. Some jurisdictions do not allow exclusion of implied warranties, so the above exclusions may not apply to you. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS, IN WHOLE OR IN PART, HELD TO BE INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF TECH M&A FOR ANY REASON AND UPON ANY CAUSE OF ACTION (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE, STRICT LIABILITY AND OTHER ACTIONS IN CONTRACT OR TORT) ARISING OUT OF OR IN ANY WAY RELATED TO THE TECH M&A SITE OR THIS AGREEMENT SHALL BE LIMITED TO DIRECT DAMAGES ACTUALLY INCURRED UP TO ONE HUNDRED UNITED STATES DOLLARS ($100). THE LIMITATION OF LIABILITY HEREIN APPLIES TO ALL LIABILITIES IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM YOUR USE OR YOUR INABILITY TO USE THE TECH M&A SITE, OR ANY OTHER MATTER ARISING FROM OR RELATING TO THE SITE. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. The laws of Georgia will govern these Terms of Use and any dispute that might arise between you and Tech M&A regarding your use of this TechMandA.com Site and any transactions hereunder shall be governed by and construed in accordance with the laws of Georgia. You agree that any action at law or in equity arising out of or relating to these terms and conditions shall be filed only in state or federal court located in Atlanta, Georgia, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Terms of Use. These Terms of Use for the TechMandA.com Site and use of the Services constitute the entire agreement of the parties. Waiver by either party of any breach or default hereunder shall not be deemed to be a waiver of any preceding or subsequent breach or default.
